1. Introduction
These Affiliate Program Terms & Conditions (“Agreement”) govern your participation in the AllEssentialJobs.com Affiliate Program (“Program”). By enrolling, promoting, or accepting commissions related to AllEssentialJobs.com (“Company,” operated by Mobius Enterprises LLC, a Pennsylvania LLC), you agree to be bound by this Agreement. “Affiliate” refers to the person or entity participating in the Program.
2. Enrollment & Approval
Enrollment is subject to Company approval.
Affiliates must provide accurate tax and contact information.
Company may accept or reject applicants at its sole discretion.
3. Permitted & Prohibited Traffic
Allowed Traffic Sources:
Social media (organic and paid)
Email marketing
SEO / SEM
Display and contextual advertising
Creator/influencer content (e.g., blogs, videos)
Restrictions:
Affiliates may not misrepresent themselves as AllEssentialJobs.com or Mobius Enterprises LLC.
Use of Company trademarks, logos, or brand names in any ads (email, display, SEM, or social) is strictly prohibited.
Re‑syndication of Company offers to other affiliate networks is not allowed.
Incentivized traffic (e.g., offering money, points, gifts for clicks or conversions) is prohibited unless explicitly authorized in writing by the Company.
Offers may not be promoted on:
Hate speech websites
Adult content websites
Gambling-related websites
Sites promoting illegal activity or infringing intellectual property rights
Violations may result in immediate termination and forfeiture of unpaid commissions.
4. Commission Structure
4.1 Standard Commission
Affiliates earn a 25% recurring commission on ad sales made to referred customers through both the AllEssentialJobs.com e-commerce platform and sales-assisted transactions facilitated by the Company’s sales team.
Commissions apply only to renewals of the original ad product purchased.
Commissions do not apply to new or additional ad purchases made by the same customer.
Commissions are subject to:
Chargebacks, refunds, or reversals (deducted from current or future payouts)
Traffic audits verifying referrals are not:
Fraudulent or bot-generated
Duplicative of existing Company customers
From restricted or exclusivity-listed sources (as designated by the Company)
4.2 Second-Tier Override
Affiliates earn a 15% override on commissions generated by directly referred sub-affiliates.
Overrides are credited when the sub-affiliate’s commissions are paid.
Re‑syndication or layered tiering beyond the first sub-affiliate level is prohibited.
5. Tracking & Reporting
The Company provides an affiliate dashboard and postback tracking system.
All commissions are based solely on Company’s internal tracking, which is final.
Affiliates must monitor performance and activity through their dashboard.
6. Payout Terms
Commissions are paid bi-monthly, on the 1st and 15th of each month, 15 days in arrears.
A $100 minimum payout threshold applies.
Invoices may be required for higher-volume payouts.
Payments may be withheld due to fraud, chargebacks, or policy violations.
7. Intellectual Property & Compliance
Affiliates may only use marketing materials explicitly provided by the Company.
No use of Company brand assets is permitted without written authorization.
Affiliates may only use Company-provided or Company-approved creative ad assets.
Affiliates must comply with all applicable laws and advertising regulations, including FTC disclosure requirements.
8. Termination
8.1 By Affiliate
An Affiliate may terminate their participation at any time with written notice. Termination becomes effective within 5 business days.
Affiliate must cease all promotional activity upon termination.
Commissions earned prior to termination will be paid per the regular payout schedule, subject to deductions.
8.2 By Company
Company may terminate participation:
Without cause, with 5 days’ written notice; or
Immediately and without notice, if the Affiliate:
Breaches any part of this Agreement
Engages in fraudulent, misleading, or unlawful conduct
Uses prohibited traffic sources or unauthorized branding
Manipulates tracking or commission systems
Company may withhold unpaid commissions in such cases.
8.3 Effects of Termination
Affiliate dashboard and link access will be disabled.
No commissions will accrue after the termination date.
Second-tier overrides will cease upon termination.
Company may retain relevant data for legal or accounting purposes.
9. Dispute Resolution & Legal Fees
Any disputes under this Agreement will be resolved through binding arbitration under the rules of the American Arbitration Association in Doylestown, Pennsylvania.
If the Affiliate initiates arbitration, they are responsible for both parties’ legal fees.
Company will bear its own legal costs if it initiates arbitration.
The arbitrator’s decision is final and binding.
10. Disclaimers & Limitation of Liability
The Program and related systems are provided “as is” with no warranties.
Company disclaims all express or implied warranties, including revenue expectations.
Company’s maximum liability is limited to commissions paid in the 12 months prior to the claim.
11. Indemnification
Affiliate agrees to indemnify and hold harmless the Company from any claims or liabilities arising from:
Breach of this Agreement
Use of unauthorized promotional methods
Legal or regulatory violations
12. Governing Law
This Agreement is governed by the laws of the Commonwealth of Pennsylvania, excluding its conflict-of-law rules.
13. Modifications
Company may update this Agreement at any time.
Affiliates will be notified by email, and changes will take effect on the stated Effective Date.
Continued participation constitutes acceptance of the updated terms.
14. Miscellaneous
Affiliates may not assign this Agreement without prior written consent.
If any part of this Agreement is found unenforceable, the remainder remains valid.
No partnership, agency, or employment relationship is created.
